since I didn't own 350d, i don't know. but i can tell you that if you buy 350d(at least in croatia) you get 1gb memory card for free... but with 400d i had to buy it extra.
but 400d has 10.1mpx and automatic sensor cleaning system...i think it was woth it.. it's not much more expensive anyway...

That's what my 350D should have had. I got dust on my lense and it really sucks big time. It's gonna cost a ton to get it cleaned.
